1. Acceptance of Terms

Welcome to MYRADPASS, LLC, an off-road motorsports community and event management platform. By downloading, accessing, or using the MYRADPASS, LLC mobile application or website (collectively, the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and MYRADPASS, LLC (“we,” “us,” or “our”). We reserve the right to update these Terms at any time. Continued use of the Platform after any changes constitutes acceptance of the revised Terms.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE ASSUMPTION OF RISK AND RELEASE OF LIABILITY IN SECTION 5 AND THE LIMITATION OF LIABILITY IN SECTION 13. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

2. Eligibility and Minor Users

2.1 Minimum Age

You must be at least 13 years of age to use the Platform. By creating an account, you represent and warrant that:

You are at least 13 years old (or the applicable age of majority in your jurisdiction);
You have the legal authority to enter into these Terms;
All information you provide is accurate, current, and complete;
You will maintain and promptly update your account information.

2.2 Users Under 18 — Parental Consent Required

If you are under 18 years of age, you may only use the Platform with the express consent, supervision, and approval of a parent or legal guardian. By permitting a minor to use the Platform, the parent or legal guardian agrees to be bound by these Terms on behalf of the minor and accepts full responsibility for:

The minor’s use of and access to the Platform;
Any content the minor posts, submits, or transmits through the Platform;
Any purchases or subscriptions made through the minor’s account;
Ensuring the minor understands and complies with these Terms;
Any attendance at motorsport events discovered through the Platform, including all associated risks.

MYRADPASS, LLC is not liable for any harm arising from a minor’s use of the Platform where parental consent was not obtained or where a minor misrepresented their age during registration.

2.3 Age Misrepresentation

If MYRADPASS, LLC discovers or has reason to believe that a user has misrepresented their age, we reserve the right to immediately suspend or terminate that account without notice or refund. Users who knowingly allow a minor to use their account are solely responsible for any resulting harm or liability.

3. User Accounts

3.1 Account Creation

To access certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account at support@myradpass.com.

3.2 Account Types

The Platform offers multiple account tiers for both riders and businesses, including free and paid options. Current subscription tiers, features, and pricing are listed on our pricing page. By subscribing to a paid tier, you agree to the fees and billing terms described at checkout and in Section 4 of these Terms.

3.3 Founding Member and Founding Promoter Rates

Eligible early subscribers who qualify for a Founding Member or Founding Promoter rate will have that rate locked for the lifetime of their continuous subscription. This is a contractual commitment by MYRADPASS, LLC and will not be affected by any future standard pricing changes. The locked rate applies only to the original subscribing account and is non-transferable. MYRADPASS, LLC reserves the right to verify eligibility before honoring a founding rate. If a qualifying subscription lapses, is cancelled, or is terminated for cause, the founding rate will not be reinstated upon resubscription.

4. Subscriptions and Billing

4.1 Subscription Fees

Paid subscriptions are billed on a recurring basis (monthly or annually) in advance. Current fees for all subscription tiers are listed on our pricing page. All fees are stated in US dollars and are non-refundable except as expressly provided in these Terms or required by applicable law.

4.2 Free Trials

Certain paid subscription tiers may include a free trial period for new subscribers. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the then-current rate and you will be billed accordingly. Trial eligibility and duration are listed on the pricing page.

4.3 Auto-Renewal

All subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for the renewal amount. You can manage or cancel your subscription at any time through your account settings.

4.4 Business Subscriptions

Business-tier subscriptions (Promoter and Promoter Pro) are managed via the RAD website and are not processed through mobile app stores. By subscribing to a business tier, you agree to the billing terms stated at checkout.

4.5 Price Changes

We may modify standard subscription pricing at any time with at least 30 days’ written notice by email or in-app notification. Any price change will take effect at your next renewal period after the notice period. Founding Member and Founding Promoter locked rates are exempt from standard price increases for as long as the qualifying subscription remains active and in good standing.

4.6 Refunds

Subscription fees are generally non-refundable. We may, at our sole discretion, issue a pro-rated refund in exceptional circumstances. Event Point Boost purchases are non-refundable once applied to an event. If you believe you have been charged in error, please contact us at support@myradpass.com within 30 days of the charge.

4.7 Event Point Boosts

Promoter and Promoter Pro subscribers may purchase Event Point Boosts as a per-event add-on to increase the point value of attendance at a specific event for all qualifying subscribers. Current boost tiers and pricing are listed on the pricing page. Boost purchases are final and non-refundable once applied.

5. Assumption of Risk and Release of Liability

5.1 Nature of Off-Road Motorsports

OFF-ROAD MOTORSPORTS, INCLUDING MOTOCROSS, ENDURO, TRAIL RIDING, RACING, AND RELATED ACTIVITIES (COLLECTIVELY, “MOTORSPORT ACTIVITIES”) ARE INHERENTLY DANGEROUS. PARTICIPATION IN OR ATTENDANCE AT MOTORSPORT ACTIVITIES INVOLVES SERIOUS RISKS OF INJURY, PERMANENT DISABILITY, AND DEATH. THESE RISKS EXIST EVEN WHEN PARTICIPANTS AND SPECTATORS EXERCISE REASONABLE CARE.

5.2 MYRADPASS, LLC’s Role Is Discovery Only

MYRADPASS, LLC is a technology platform that enables riders to discover events and promoters to list events. MYRADPASS, LLC is not an event organizer, sanctioning body, promoter, or participant in any event listed on the Platform. MYRADPASS, LLC does not inspect, supervise, control, or guarantee the safety, quality, conditions, or accuracy of any event, venue, track, or activity listed on or discovered through the Platform.

5.3 No Verification of Event Information

MYRADPASS, LLC does not independently verify the accuracy of event details posted by promoters, including but not limited to event dates, times, locations, entry fees, safety measures, track conditions, AMA sanctions, insurance coverage, medical staff availability, or emergency procedures. You acknowledge that:

Event information may be incomplete, inaccurate, or outdated;
Conditions at any event may differ materially from what is listed on the Platform;
MYRADPASS, LLC bears no responsibility for any loss, injury, or inconvenience caused by reliance on event information posted by third-party promoters.

5.4 Assumption of Risk

BY USING THE PLATFORM TO DISCOVER, RSVP TO, OR ATTEND ANY MOTORSPORT EVENT, YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH THAT EVENT, INCLUDING BUT NOT LIMITED TO: RISKS OF PHYSICAL INJURY OR DEATH; RISKS ARISING FROM THE ACTIONS OF OTHER PARTICIPANTS, SPECTATORS, PROMOTERS, OR THIRD PARTIES; RISKS ARISING FROM TRACK OR VENUE CONDITIONS; AND RISKS ARISING FROM EQUIPMENT FAILURE OR MALFUNCTION. THIS ASSUMPTION OF RISK APPLIES WHETHER OR NOT THE RISK IS CAUSED BY THE NEGLIGENCE OF THE EVENT PROMOTER OR ANY THIRD PARTY.

5.5 Release of MYRADPASS, LLC

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE MYRADPASS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, ACTIONS, OR CAUSES OF ACTION ARISING OUT OF OR RELATED TO ANY LOSS, DAMAGE, INJURY, OR DEATH SUSTAINED IN CONNECTION WITH YOUR ATTENDANCE AT OR PARTICIPATION IN ANY MOTORSPORT EVENT DISCOVERED THROUGH THE PLATFORM.

6. Points Economy, Leaderboards, and Prizes

6.1 Points Eligibility

Points are exclusively available to active paid subscribers. Free tier accounts do not earn points and cannot access leaderboards or prize draws. Points have no monetary value and cannot be transferred, sold, or redeemed for cash.

6.2 GPS Verification

Attendance points require GPS location to be enabled on your device at the time of the event. You must be physically present at the event location for GPS-verified points to be awarded. Attempting to spoof or fake GPS location to earn points is a violation of these Terms and may result in immediate account suspension or termination without refund.

6.3 GPS System Limitations

GPS technology is subject to accuracy limitations and may be affected by device settings, environmental conditions, signal availability, and other technical factors beyond MYRADPASS, LLC’s control. MYRADPASS, LLC does not guarantee that GPS verification will function correctly in all circumstances. You acknowledge and agree that:

MYRADPASS, LLC is not liable for points that fail to register due to GPS errors, signal loss, device incompatibility, or other technical issues;
MYRADPASS, LLC’s determination of whether GPS verification has been satisfied is final;
Disputes regarding point awards or non-awards must be submitted to support@myradpass.com within 7 days of the relevant event and are subject to MYRADPASS, LLC’s sole discretion to resolve.

6.4 Point Earning

Points are earned through various in-app actions including account activation, GPS-verified event attendance, daily engagement, RSVPs, track reviews, and series streak bonuses. The full point schedule is available on our website. MYRADPASS, LLC reserves the right to adjust point values, earning methods, and multipliers at any time with notice to subscribers. MYRADPASS, LLC also reserves the right to correct, adjust, or remove points that were awarded in error or obtained through prohibited conduct.

6.5 Leaderboards

Monthly leaderboards reset on the 1st of each month. Yearly leaderboards reset on January 1st of each year. Leaderboards are available at Regional, National, and Global scopes for eligible subscribers. MYRADPASS, LLC reserves the right to disqualify any rider, remove any account from a leaderboard, and reclaim any prize already awarded if MYRADPASS, LLC determines, at its sole discretion, that a user has manipulated points, violated these Terms, or engaged in any form of fraud or cheating, whether discovered before or after a prize is awarded.

6.6 Prizes

Top-ranked riders may be eligible for monthly and yearly prize draws. Prize structure, number of winners, and prize values are determined by MYRADPASS, LLC and are subject to change based on platform growth and available sponsorship. MYRADPASS, LLC makes no guarantee as to minimum prize values or number of winners in any given period.

All prize decisions made by MYRADPASS, LLC are final and binding. MYRADPASS, LLC reserves the right to withhold, withdraw, or reclaim any prize if: (a) the recipient is found to have violated these Terms; (b) the prize was awarded based on fraudulent, manipulated, or erroneously recorded points; or (c) the recipient fails to respond to prize notification within 14 days. Prizes are non-transferable, have no cash value unless stated otherwise, and may be subject to applicable taxes, which are the sole responsibility of the recipient.

7. User-Generated Content

7.1 Your Content

The Platform allows you to post, share, and publish content including photos, comments, reviews, event information, and other materials (“User Content”). You retain ownership of your User Content, but by posting it you grant MYRADPASS, LLC a non-exclusive, royalty-free, worldwide, sublicensable license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Platform.

7.2 Content Standards

You agree not to post User Content that:

Is unlawful, defamatory, harassing, abusive, threatening, or fraudulent;
Infringes any third party’s intellectual property or privacy rights;
Contains spam, unsolicited advertising, or misleading information;
Depicts illegal activity or promotes harm to any person or animal;
Is inappropriate for minors, given that users as young as 13 may access the Platform;
Violates any applicable local, state, national, or international law.

7.3 Content Removal

MYRADPASS, LLC reserves the right, but is not obligated, to review, edit, or remove any User Content at our sole discretion and without notice. We are not responsible for User Content posted by third parties. You acknowledge that MYRADPASS, LLC is not a publisher of User Content and is not liable for any User Content posted by other users.

8. Privacy and Personal Data

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your data as described in the Privacy Policy.

8.1 Location Data

GPS location data is required to earn attendance points and to power location-based features such as the event map. We do not sell your location data to third parties. You may disable location services at any time through your device settings; however, doing so will prevent you from earning GPS-verified points.

8.2 Payment Data

Payment information is processed by a third-party payment processor. MYRADPASS, LLC does not store full payment card details on its servers. By submitting payment information, you authorize us and our payment processor to charge the applicable fees.

9. Promoter and Business Account Responsibilities

If you hold a business-tier account, you additionally agree to:

Ensure all event information you post is accurate, complete, and up to date, including dates, times, entry fees, location, safety provisions, and series details;
Promptly update or remove event listings in the event of cancellations, postponements, venue changes, or any other material modifications, and notify affected riders;
Obtain all necessary permits, licenses, waivers, and insurance required to operate motorsport events in your jurisdiction, including adequate liability insurance;
Not use the Platform to mislead riders about event conditions, safety standards, prize structures, or any other material information;
Comply with all applicable laws and regulations governing motorsport events and the collection of data from attendees;
Ensure that any minors attending your events have appropriate parental consent and supervision as required by law.

MYRADPASS, LLC is a technology platform that connects promoters and riders. We are not a co-organizer, co-promoter, or sanctioning body for any event listed on the Platform. MYRADPASS, LLC is not responsible for the safety, conduct, outcome, or accuracy of any event. Promoters assume full responsibility for the events they list and agree to indemnify and hold MYRADPASS, LLC harmless from any claims arising from their events.

10. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful purpose or in violation of these Terms;
Attempt to reverse engineer, decompile, or disassemble any part of the Platform;
Scrape, harvest, or collect data from the Platform using automated means without written permission;
Use GPS spoofing, bots, scripts, or other automated tools to artificially earn points or manipulate leaderboard standings;
Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
Interfere with the security, integrity, or performance of the Platform;
Circumvent any access controls or technical limitations of the Platform;
Create multiple accounts to gain unfair advantages in the points system or prize draws;
Post false, misleading, or fraudulent event information;
Use the Platform to harass, threaten, or harm any other user.

11. Mobile Application and Third-Party Platforms

11.1 Apple App Store

If you download the RAD app from the Apple App Store, you acknowledge that: (a) these Terms are between you and MYRADPASS, LLC only, not with Apple Inc.; (b) Apple has no obligation to provide any maintenance or support services for the app; (c) in the event of any failure of the app to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any, but Apple has no other warranty obligation with respect to the app; (d) Apple is not responsible for addressing any claims by you or any third party relating to the app; and (e) Apple is a third-party beneficiary of these Terms as they relate to your use of the app, and Apple will have the right to enforce these Terms against you.

11.2 Google Play Store

If you download the RAD app from the Google Play Store, you acknowledge that: (a) these Terms are between you and MYRADPASS, LLC only, not with Google LLC; (b) Google has no obligation whatsoever with respect to the app or these Terms; and (c) Google is not responsible for the app, its content, or any claims relating to the app.

11.3 Third-Party Services

The Platform may integrate with or link to third-party services, including payment processors, mapping services, and analytics providers. MYRADPASS, LLC is not responsible for the practices, content, or availability of any third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

12. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to the MYRADPASS, LLC name, logo, software, design, text, and graphics — are owned by MYRADPASS, LLC or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform or MYRADPASS, LLC’s intellectual property except the limited license to use the Platform in accordance with these Terms.

13. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MYRADPASS, LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

MYRADPASS, LLC EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR: (A) THE ACCURACY, COMPLETENESS, OR TIMELINESS OF EVENT INFORMATION POSTED BY PROMOTERS; (B) THE SAFETY, ORGANIZATION, OR CONDUCT OF ANY MOTORSPORT EVENT; (C) ANY INJURY, DEATH, PROPERTY DAMAGE, OR OTHER LOSS ARISING FROM ATTENDANCE AT OR PARTICIPATION IN ANY EVENT FOUND THROUGH THE PLATFORM; AND (D) ANY FAILURE OF GPS OR OTHER TECHNOLOGY TO CORRECTLY RECORD ATTENDANCE OR AWARD POINTS.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MYRADPASS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, POINTS, PRIZES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MYRADPASS, LLC’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO MYRADPASS, LLC IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, MYRADPASS, LLC’S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to defend, indemnify, and hold harmless MYRADPASS, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your attendance at or participation in any event discovered through the Platform; (e) your violation of any third party’s rights; or (f) if you are a parent or guardian, your minor child’s use of the Platform.

16. Termination

MYRADPASS, LLC may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

You may close your account at any time through your account settings or by contacting support@myradpass.com. Upon termination, your right to use the Platform ceases immediately. Accrued points, leaderboard standings, and any unused subscription period are forfeited upon termination for cause. For voluntary account closures, we will honor any remaining prepaid subscription period.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in St. Louis, Missouri, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the Effective Date at the top of this document and, for material changes, notify you by email or in-app notification at least 14 days before the change takes effect. Your continued use of the Platform after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and may cancel your subscription in accordance with Section 4.

19. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and MYRADPASS, LLC with respect to the Platform and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver. MYRADPASS, LLC’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without MYRADPASS, LLC’s prior written consent. MYRADPASS, LLC may assign these Terms freely without restriction.

Force Majeure. MYRADPASS, LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, pandemics, or internet outages.
